1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SubBuddy, including our website, application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use the Service. When you create an account, you agree to provide accurate, complete, and current information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been accessed without authorization, you must notify us promptly.

We may suspend or restrict an account that contains false information, violates these Terms, or creates security, legal, or operational risk for SubBuddy or other users.

3. License and Acceptable Use

Subject to these Terms, SubBuddy grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

You may not use the Service:

• For any unlawful purpose or in any way that interrupts, damages, impairs, or renders the Service less efficient.
• To transmit, or procure the sending of, any advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations.
• To impersonate or attempt to impersonate SubBuddy, a SubBuddy representative, another user, or any other person or entity.
• In any way that infringes the rights of others or that is illegal, threatening, fraudulent, deceptive, or harmful.
• To interfere with or disrupt the integrity, security, performance, or availability of the Service.
• To access or attempt to access non-public areas of the Service, bypass protective measures, or test the vulnerability of our systems without authorization.
• To copy, scrape, reverse engineer, or otherwise misuse the Service except to the extent such restriction is prohibited by applicable law.

You are responsible for the legality, accuracy, and completeness of the subscription and other data you submit to the Service. SubBuddy is not responsible for losses caused by inaccurate or incomplete user-provided data.

4. Paid Plans, Billing, Cancellation, and Refunds

Certain features of the Service may require payment. Paid plans are billed in advance on a recurring basis at the interval disclosed at checkout (the "Billing Cycle").

By starting a paid subscription or free trial, you authorize us or our payment processor to charge the applicable fees, taxes, and any automatically renewing charges unless you cancel before renewal or before the trial converts to a paid plan.

Subscriptions renew automatically unless canceled. If you cancel, your subscription will usually remain active until the end of the then-current Billing Cycle and will not renew for a new period.

Except where required by applicable law or expressly stated at checkout, fees are non-refundable and we do not provide refunds or credits for partial Billing Cycles or unused time.

If we change our pricing, we will provide reasonable notice before the new pricing applies to your next Billing Cycle.

5. Lifetime Access

Any plan, license, or offer described as "Lifetime" or "Lifetime Access" means access to the relevant product or offering for as long as SubBuddy continues to operate and continues to make that product or offering available. It does not refer to the lifetime of any individual. If SubBuddy permanently discontinues the product or offering, Lifetime Access will end on the discontinuation date. In that event, we will use commercially reasonable efforts to provide prior notice and, where technically feasible, provide access to or export of certain user data in a commonly used format while the necessary data remains available in our systems.

6. User Data and Privacy

We process personal data as described in our Privacy Policy.

You are responsible for ensuring that you have the rights and permissions necessary to submit data to the Service and for complying with laws that apply to your use of that data.

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of SubBuddy and its licensors.

8. Service Availability and Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times. Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.

9. Suspension, Termination, and Data Access

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, create legal or security risk, or if suspension or termination is required to protect the Service, other users, or comply with law.

If you cancel a paid subscription, access to paid features will usually continue until the end of the current paid Billing Cycle, unless earlier suspension or termination is necessary for fraud, abuse, security, or legal reasons.

After account closure, we may delete or anonymize your data in accordance with our Privacy Policy, legal obligations, and legitimate business needs. Where export functionality is available and technically feasible, we may allow limited-time access to export certain user data before deletion.

10. Limitation of Liability

To the maximum extent permitted by law, SubBuddy and its directors, employees, partners, agents, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or relating to the Service.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service will not exceed the amount you paid us for the Service during the 12 months before the event giving rise to the claim.

11. Mandatory Consumer Rights

Nothing in these Terms limits or excludes any mandatory rights you may have under applicable consumer protection laws in your country, state, or place of residence.

If you are a consumer, any provision of these Terms that conflicts with mandatory law will apply only to the extent permitted by that law, and you will continue to benefit from protections that cannot be waived under applicable law.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain, excluding its conflict of laws rules.

Except where mandatory consumer law provides otherwise, disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Spain. This choice of law and forum does not deprive consumers of mandatory protections available under the laws of their country, state, or place of residence.

13. Changes to These Terms

We may update these Terms from time to time. If we do, we will post the revised version on this page and update the Effective Date or Last Updated date above, as appropriate.

If a change is material, we will make reasonable efforts to provide advance notice, such as by email or through the Service, before the updated Terms take effect. If you continue using the Service after the effective date of the revised Terms, you agree to the updated Terms.
